Terms of Service

These Terms of Service ("Terms") govern your access to and use of the DeckCast website, applications, and services (collectively, the "Service"). By accessing or using the Service, you agree to these Terms.

If you do not agree, do not use the Service.

1) Who we are

DeckCast ("DeckCast," "we," "us," "our") is a product of Whisperware LLC, a Delaware limited liability company ("Whisperware"). DeckCast provides tools to help you upload slide decks and documents and generate easier-to-consume outputs such as microsites, summaries, and audio.

2) Eligibility and account registration

  • You must be at least 13 years old (or the minimum age required in your jurisdiction) to use the Service.
  • You may use parts of the Service without creating an account. Some features require authentication.
  • You agree to provide accurate information and to keep it up to date.

Magic links and account security

If we offer email magic links, you are responsible for maintaining control over your email account and any device where you are signed in. You are responsible for all activity under your account.

3) Your content

A) Ownership

You retain ownership of content you upload to DeckCast ("User Content").

B) License to operate the Service

You grant DeckCast a non-exclusive, worldwide license to host, store, reproduce, process, and transform User Content solely to:

  • provide, maintain, and improve the Service,
  • generate outputs you request (such as microsites, summaries, and audio),
  • enforce these Terms, prevent abuse, and comply with law.

C) Permissions and responsibility

You represent and warrant that you have all rights needed to upload and process your User Content and that doing so does not violate applicable law or third-party rights (including confidentiality obligations).

4) Generated outputs

The Service may produce outputs based on your User Content ("Outputs"), including summaries, structured data, and audio.

  • You are responsible for reviewing Outputs before relying on them.
  • Outputs may contain errors, omissions, or outdated information.
  • DeckCast does not provide legal, medical, financial, or professional advice.

Output ownership

As between you and DeckCast, you own your Outputs. To the extent DeckCast may have any rights in Outputs, DeckCast assigns to you all such rights.

Similarity of outputs

Because outputs are generated by automated systems, Outputs may be similar to content generated for other users.

5) Sharing and public links

You may be able to create shareable links ("Share Links").

  • Share Links may make certain content accessible to anyone with the link.
  • You are responsible for how you share and who you share with.
  • We may provide tools to disable or revoke Share Links, but we cannot control copying or redistribution once content is shared.

Public display permission

When you create a Share Link, you grant DeckCast a license to host, reproduce, and publicly display the shared content (including any associated audio) to anyone who accesses the Share Link, solely for the purpose of operating the sharing feature.

6) Acceptable use

You agree not to:

  • use the Service to violate any law or third-party rights,
  • upload content you do not have the right to use,
  • upload malware or attempt to disrupt the Service,
  • attempt to access other users' accounts or content without authorization,
  • reverse engineer, decompile, or attempt to derive source code or underlying components of the Service (except where such restriction is prohibited by law),
  • scrape, harvest, or extract data from the Service at high volume (including through automated means),
  • bypass or interfere with security or access controls, including rate limits.

We may suspend or terminate access if we reasonably believe you violated these Terms or pose a security risk.

7) Plans, billing, and renewals

We may offer free and paid plans.

A) Free plan

The free plan may have limits (for example, number of uploads, file size, available features, generation options, or retention). Limits may change over time.

B) Paid plan

If you subscribe to a paid plan:

  • you authorize us (and our payment processor) to charge the applicable subscription fees on a recurring basis until you cancel,
  • taxes may apply, and you are responsible for any applicable taxes except where we are required by law to collect them,
  • subscriptions renew automatically unless canceled.

C) Cancellation

You can cancel at any time. Your subscription will remain active until the end of the current billing period. We do not provide prorated refunds or credits for partial periods, except where required by law.

D) Price changes

We may change our prices or plan features from time to time. If you have an active paid subscription, we will provide notice of material pricing changes (for example, by email or within the Service) before they take effect.

E) Failed payments

If a payment fails, we may retry the charge. If we cannot successfully process payment, we may suspend or downgrade your access to paid features until payment is received.

F) Refunds

Except where required by law, payments are non-refundable.

8) Beta and experimental features

From time to time, we may offer features labeled as beta, experimental, preview, or similar ("Beta Features"). Beta Features may be changed or discontinued at any time and may be subject to additional limitations. Beta Features are provided "as is" and "as available."

9) Third-party services

The Service may rely on third-party services (for example, cloud hosting, storage, and AI providers). Your use of those services may be subject to their terms.

DeckCast is not responsible for third-party services or their availability.

10) Privacy

Our Privacy Policy explains how we collect and use information. By using the Service, you agree to our Privacy Policy.

11) Intellectual property

The Service, including software, design, logos, and other content provided by DeckCast, is owned by DeckCast or its licensors and is protected by intellectual property laws.

You may not copy, modify, distribute, sell, or lease any part of the Service except as permitted by these Terms.

12) Feedback

If you provide feedback or suggestions, you grant DeckCast the right to use them without restriction or compensation.

13) Termination

You may stop using the Service at any time.

We may suspend or terminate your access to the Service if:

  • you violate these Terms,
  • we need to do so to protect the Service, other users, or the public,
  • required by law.

On termination, your right to use the Service stops. Certain provisions (such as ownership, disclaimers, limitation of liability) will survive termination.

14) Disclaimers

THE SERVICE AND OUTPUTS ARE PROVIDED "AS IS" AND "AS AVAILABLE." TO THE MAXIMUM EXTENT PERMITTED BY LAW, DECKCAST DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

15) Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, DECKCAST WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL.

IN ANY EVENT, DECKCAST'S TOTAL LIABILITY FOR ANY CLAIM RELATING TO THE SERVICE WILL NOT EXCEED THE GREATER OF (A) $100 OR (B) THE AMOUNTS YOU PAID TO DECKCAST FOR THE SERVICE IN THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM.

16) Indemnification

You agree to indemnify and hold harmless DeckCast and its affiliates, officers, employees, and agents from any claims, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or related to your use of the Service or your violation of these Terms.

17) Changes to the Service or Terms

We may update the Service and these Terms from time to time.

If changes are material, we may provide notice (for example, by posting on the Service or emailing you). Continued use after the effective date of updated Terms constitutes acceptance.

18) Governing law and dispute resolution

These Terms are governed by the laws of the State of Delaware, without regard to conflict of law principles.

Any disputes arising out of or relating to these Terms or the Service will be brought exclusively in the state or federal courts located in Delaware, and you consent to personal jurisdiction and venue in those courts, unless applicable law requires otherwise.

19) Miscellaneous

  • Assignment: You may not assign these Terms without our consent. We may assign them as part of a business transfer.
  • Severability: If any provision is unenforceable, the rest remain in effect.
  • No waiver: Failure to enforce a provision is not a waiver.
  • Entire agreement: These Terms and the Privacy Policy form the entire agreement regarding the Service.
